This document is a legally binding official agreement between you (the User) and the AzFreelance platform. By using the platform (whether registered or not), you fully accept ALL the terms, disclaimers, and risks stated herein. If you do not agree with these terms, you must immediately leave the platform and stop using our services.
1.1. Disclaimer of Agency: The AzFreelance platform is solely an independent, digital Bulletin Board Service that brings together digital service buyers (Clients) and independent professionals (Freelancers). The platform is NOT a party to any verbal or written contracts concluded between users and in no case acts as an employer, employee, agent, attorney, or partner.
1.2. Execution of Content: The platform provides no guarantees regarding the quality, safety, legality, timely delivery of projects agreed between the parties, or the users' ability to fulfill their promises, and bears no responsibility for them.
1.3. Age Restriction: You must be at least 18 years old to use the platform and offer/receive services. Individuals under the age of 18 do not have the right to enter into contracts (take/give jobs) on the platform. Accounts violating the age restriction will be immediately deleted.
2.1. Absence of Escrow System: AzFreelance under no circumstances carries out, manages, mediates, or HOLDS funds in escrow for financial transfers between users (client and freelancer).
2.2. Direct Payments: The budgets displayed on the platform are solely for visual evaluation of the project. All financial transactions between the parties (advance, full payment, partial payment, etc.) take place based on their personal agreement, OUTSIDE the platform (via bank transfer, cash, e-wallet, etc.).
2.3. Full Disclaimer of Liability: AzFreelance is free from ALL material, moral, and legal liability in the event of the following:
2.4. Tax Liability: Freelancers are Independent Contractors. The payment of taxes (TIN), social insurance, and other state fees from the income they earn is 100% their own responsibility. AzFreelance does not file tax reports on behalf of any user and is not responsible to the state for tax evasion.
THE USER AGREES THAT: Any material damage (loss of money) arising during any payment or work activity with persons found through the platform is 100% the user's own risk. AzFreelance will not recover any lost funds or be a party to judicial disputes.
3.1. User's Obligation: The protection of your account password, login details, and personal data is entirely your responsibility. AzFreelance is not responsible for the theft of your account as a result of not choosing a strong password or sharing your data with third parties.
3.2. Cyberattacks and Force Majeure: Although our platform is protected by modern security protocols, no system in the internet environment is 100% secure. As a result of unforeseen cyberattacks (DDoS, Hacking, Data Breach, Ransomware, etc.):
in these cases, AzFreelance DOES NOT BEAR direct, indirect, or any other legal, material, or moral LIABILITY for the resulting damages.
3.3. Phishing and Fraud: Users must be careful when clicking on external links (e.g., links sent by another user in a message). Damage caused by malicious software (malware, virus) is at the user's own risk.
3.4. Account Sale or Transfer is Prohibited: A user may not sell, rent, or gift their account (especially a highly-rated freelancer profile) to another person. If this is detected, the account is permanently blocked.
4.1. Automated Control: AzFreelance uses Artificial Intelligence (AI) algorithms in the analysis of texts (job postings, proposals, messages) in order to ensure user safety and prevent spam and fraud (scam).
4.2. Finality of Decisions and False Positives: The AI system has the right to block, hide, or delete any content (or account) it deems suspicious without warning. The platform is not responsible for postings/accounts mistakenly deleted or blocked by AI, as well as any malicious account (scammer) activity that missed the AI's attention and caused damage. If you think the AI's decision (blocking, deletion) is wrong, please contact the AzFreelance support team immediately.
5.1. Premium Services: Deposit transactions on the platform (Wallet balance) are only for purchasing internal digital services such as advertising, boosting postings, or VIP Status.
5.2. No Refund Policy: Any amount entered into the platform (spent for Boost, etc., or remaining in the balance) is STRICTLY not cashed out or refunded. If your account is blocked (Banned) due to a rule violation, the funds in your balance are canceled and no compensation is paid.
6.1. General Prohibitions: Users must not post illegal, fraudulent job postings; spread spam; create fake profiles; and must not use hate speech (blackmail, insult) against other users.
6.2. Malicious Harm: Any attempt aimed at disabling the AzFreelance platform technically or reputationally is strictly prohibited and creates **legal liability** (criminal case). The following are considered cases to be directly reported to law enforcement agencies:
PUNISHMENT AND LEGAL PROSECUTION: Persons attempting to intentionally harm the platform, launch a hacker attack, or copy data without permission will both be sued by AzFreelance (demanding compensation in the amount of one hundred times the material damage caused) and immediately handed over to the relevant state bodies (cybercrime combating department) along with their IP address and all available information.
You (the User) agree to indemnify and hold harmless the AzFreelance platform, its creators, employees, and management against any third-party claims, damages, court costs, or legal demands arising from the following situations, and you will pay all compensations/damages yourself:
8.1. Project Ownership: Unless there is a written agreement (contract) to the contrary, all intellectual property and usage rights of the work (code, design, text, etc.) delivered by the freelancer to the client and fully paid for pass to the Client. However, this is a matter between the parties, and the platform is not the registrar or guarantor of this process.
8.2. Platform's Property: The AzFreelance logo, design, codebase, and all related digital assets belong to the platform. Unauthorized copying, modification, or use of these is strictly prohibited and creates legal liability.
8.3. User Generated Content (UGC): The information you share publicly on the platform (your portfolios, reviews, public profile information) may be used by AzFreelance for marketing, advertising, and promotional purposes (e.g., as "Freelancer of the Week" on social networks). By using the platform, you grant permission for the royalty-free use of this information.
9.1. Right to Modify: AzFreelance reserves the right to modify, add to, or shorten these Terms of Service at any time without prior notice. Any changes come into effect from the moment they are published on the page.
9.2. Jurisdiction and Dispute Resolution: These rules and any dispute arising from the use of the platform (and involving AzFreelance directly) are governed by the legislation of the country/jurisdiction where the platform physically operates. In other disputes between users, the platform is NOT a party.
10.1. Strike System: When the AzFreelance platform detects rule violations based on automated AI moderation, admin review, or complaints from other users, it issues a Strike to that user. The strike system works progressively:
10.2. Instant Ban Cases: In the following cases, the account is immediately blocked without waiting for a Strike:
10.3. Complaint Process: A user who believes a Strike is unfair can send a written objection to [email protected] within 7 business days. The Admin team will review the objection within 14 business days. The final decision is at the platform's discretion.
11.1. What is a Dispute: In the event of a disagreement between a client and a freelancer regarding work quality, delivery time, or payment terms within the framework of an active contract, either party may register a Dispute from within the platform.
11.2. Role of the Platform: When a dispute is registered, AzFreelance changes the contract status to "DISPUTED". This is only a technical status. The platform is not a party to the dispute, does not resolve the financial disagreement between them, and is not drawn into any decision. The parties must come to an agreement among themselves.
11.3. False/Malicious Dispute: If any party intentionally abuses the dispute system (for example, by opening an unfounded dispute with the intention of harassing the other party), this may lead to the application of the Strike system.
12.1. AS-IS Disclaimer: The AzFreelance platform, including all its functionalities, content, recommendations, and postings, is provided on an "AS-IS" and "AS-AVAILABLE" basis. The platform provides no express or implied warranty that any job will be found, income will be earned, the platform will operate uninterrupted, or the content will be accurate.
12.2. Liability Cap: The total legal liability of AzFreelance to the user — regardless of the cause of action — cannot exceed the total amount paid by the user to AzFreelance over the past 12 months; if no payment has been made, this amount is limited to 10 (ten) AZN.
12.3. Full Disclaimer of Indirect Damages: Under no circumstances is the AzFreelance platform liable for the following:
12.4. Class Action Waiver: You agree that any claim against the platform can only be brought on an individual basis. Users explicitly waive the right to bring a class action or consolidated claim.
12.5. Validity of the Legal Framework: This limitation of liability remains valid even if the platform's selected limited remedy fails of its essential purpose.
13.1. Prohibited Content: It is strictly forbidden to share the following types of content on the platform:
13.2. Prohibition of Rating Manipulation: Any interference with the rating system — including writing fake reviews, buying 5 stars from another user for money, earning a rating by creating a fictitious contract — leads to immediate account blocking (Instant Ban). The platform detects this with technical tools (IP, behavioral analysis).
13.3. Portfolio Content Ownership: Freelancers may only upload their own handiwork (created by them, authored by them) as sample portfolio items. If presenting someone else's work as one's own (Plagiarism) is detected, the account is blocked.
The platform bears no financial or legal liability if AzFreelance fully or partially suspends, delays, or fails to fulfill its obligations due to the occurrence of any of the following force majeure events:
15.1. Severability: If any provision of these Terms of Service is held to be illegal, invalid, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary; and all remaining provisions shall remain in full force and effect.
15.2. Entire Agreement: This document — together with the Privacy Policy and Cookie Policy — constitutes the entire agreement between you (the User) and AzFreelance, and supersedes all prior oral, written, electronic communications, agreements, and previous terms of use.
15.3. Waiver: The failure of AzFreelance to enforce any provision of these Terms in a specific instance cannot be interpreted as a general waiver of that provision by the platform.
15.4. Assignment: AzFreelance may assign this agreement, including all rights and obligations, to a third party at any time during a merger, acquisition, or sale of assets. The User may not assign this agreement without the written consent of AzFreelance.
15.5. No Guarantee of Income: Registering on AzFreelance, creating a profile, posting a job, or contacting a freelancer — is not a guarantee that a job will be found, a contract will be concluded, or income will be earned in any form.
15.6. Professional Services Disclaimer: No information shared by users on the platform — whether a job posting, portfolio, review, or message — constitutes official legal, medical, financial, accounting, tax, investment, or psychological advice. The platform is not responsible for the accuracy of information in these areas. Consult a licensed professional if you need expert opinion in those areas.
